1. Agreement to These Terms
These Terms of Service (“Terms”) constitute a legally binding agreement between you (“you”, “your”, or “Learner”) and NexCoder Technologies Private Limited, an entity registered in India and operating the education brand “NexCoder Academy” (“NexCoder Academy”, “NexCoder”, “we”, “us”, or “our”).
These Terms govern your access to and use of our website, learning platforms, live and recorded sessions, workshops, bootcamps, courses, mentorship, assignments, projects, community spaces, downloadable resources, and other related products or services (collectively, the “Services”).
By accessing the Services, registering for a program, reserving a seat, making a payment, or otherwise using the Services, you confirm that you have read, understood, and agreed to these Terms and any policies incorporated by reference. If you do not agree, you must not use the Services.
2. Changes to These Terms
We may update these Terms from time to time to reflect changes in our Services, business practices, technology, or applicable law. The revised version will be effective when posted with an updated “Last updated” date, unless a different effective date is stated. Your continued use of the Services after an update constitutes acceptance of the revised Terms to the extent permitted by law.
3. Eligibility and Minors
You must have the legal capacity to enter into a binding agreement under applicable law. If you are under the age at which you can independently enter into such an agreement in your jurisdiction, your parent or legal guardian must review and accept these Terms and, where applicable, complete the enrollment or payment on your behalf.
4. Account Registration and Security
Some Services may require an account or registration. You agree to provide accurate, current, and complete information and to keep it updated. You are responsible for maintaining the confidentiality of your login credentials and for activity conducted through your account. You must promptly notify us if you suspect unauthorized access or misuse.
Accounts, course access, certificates, and learner credentials are personal to the enrolled learner and may not be sold, shared, transferred, or commercially exploited without our written permission.
5. Educational Programs and Delivery
NexCoder Academy provides practical AI-skills education through formats that may include live sessions, recordings, assignments, hands-on projects, mentorship, guest sessions, portfolio work, and career-oriented learning support.
Program descriptions, curriculum, duration, session counts, instructors, tools, schedules, projects, and delivery methods shown on our website or enrollment materials are intended to describe the program at the time of enrollment. We may make reasonable changes where required to improve learning outcomes, respond to technology changes, instructor availability, platform changes, or other operational needs.
For example, current course materials describe Practical AI Mastery as a 14-week, 56-session program with live and recorded learning, projects and mentorship, and the AI Bootcamp as a 2-week, 8-session intensive program. The first two weeks of the Practical AI Mastery curriculum are described as matching the Bootcamp curriculum. An optional 4-week, 16-session FDE Specialization is also described, built on the Practical AI Mastery foundation. Current program materials should always be checked for the latest offering, pricing, schedule, and inclusions.
6. AI Tools and Third-Party Services
Our programs may demonstrate or use third-party AI, productivity, automation, coding, research, data, or no-code tools. Examples may include tools such as ChatGPT, Claude, Cursor, Perplexity, Gamma, Zapier, Make, and other services. Third-party products are operated independently and may change their pricing, features, availability, terms, or access requirements without notice.
Unless expressly stated otherwise in the applicable program description, third-party subscriptions, paid API usage, software licenses, hardware, internet access, or other external costs are not included in the course fee. Learners are responsible for complying with third-party terms and for deciding what information they submit to external tools.
7. Fees, Seat Reservations, Taxes, and Payments
Program fees, launch offers, discounts, installment options, seat-reservation amounts, and payment schedules are those displayed or communicated at the time of enrollment. Prices may change for future enrollments.
Where a seat-reservation amount is offered, the applicable enrollment page or written offer will state whether and how it is adjusted against the total course fee. Current course materials indicate a ₹3,000 seat reservation for the listed Practical AI Mastery and AI Bootcamp offerings, adjustable against the course fee; however, the applicable checkout/enrollment terms at the time of purchase will control.
You agree to pay all amounts due by the stated deadlines. Applicable taxes, including GST where required, may be charged in accordance with Indian law. Payments may be processed through third-party payment providers, whose separate terms and privacy practices may apply.
If an installment is overdue, we may suspend access to sessions, recordings, community spaces, certificates, mentorship, or other Services until outstanding amounts are resolved, subject to applicable law.
8. Cancellations, Refunds, and Program Transfers
Refunds, cancellations, deferrals, cohort transfers, and fee adjustments are governed by the refund/cancellation policy displayed or provided to you at the time of purchase. If a separate Pricing and Refund Policy is published by NexCoder Academy, it is incorporated into these Terms by reference.
Any promotional or launch-offer conditions, non-refundable components, seat-reservation treatment, refund windows, administrative deductions, or transfer conditions should be clearly stated in the applicable enrollment terms. Nothing in these Terms limits any mandatory rights or remedies available to consumers under applicable law.
9. Attendance, Recordings, and Certificates
Learners are responsible for attending scheduled sessions and completing assignments, projects, assessments, or other requirements communicated for a program. Where recordings are provided, access duration may be limited to the period stated in the applicable program description.
Certificates, completion recognition, portfolio support, or similar benefits may be subject to attendance, project, assessment, payment, conduct, or other completion requirements communicated for the program. A certificate confirms participation or completion under NexCoder Academy’s stated criteria; it is not a government degree, university qualification, professional license, or guarantee of employment unless expressly stated otherwise.
10. Career Support and No Employment Guarantee
NexCoder Academy may provide career-oriented learning, portfolio guidance, interview preparation, professional-branding guidance, industry sessions, or related support. Unless a specific written agreement expressly states otherwise, enrollment does not guarantee employment, placement, promotion, salary increase, internship, client acquisition, business revenue, visa outcome, or any other career or financial result.
Outcomes depend on factors outside our control, including a learner’s effort, prior experience, market conditions, employer decisions, location, interview performance, and completion of program requirements. We do not fabricate or promise placement statistics or learner outcomes.
11. Acceptable Use and Prohibited Activities
You may use the Services only for lawful, personal learning purposes unless we expressly authorize another use. You agree not to:
- copy, reproduce, resell, redistribute, upload, publicly share, or commercially exploit course recordings, slides, assignments, prompts, templates, projects, or other protected materials without written permission;
- share login credentials or enable unauthorized access to paid content;
- record live sessions, instructors, guests, or other learners without permission;
- scrape, crawl, data-mine, reverse engineer, interfere with, overload, or bypass security or access controls of our website or learning systems;
- upload malware, harmful code, unlawful content, or material that infringes another person’s intellectual property, privacy, or other rights;
- harass, threaten, discriminate against, impersonate, or abuse instructors, staff, guests, or other learners;
- use the Services to facilitate fraud, academic dishonesty, unlawful activity, or harmful misuse of AI tools; or
- misrepresent your identity, qualifications, course completion, project authorship, or relationship with NexCoder Academy.
We may suspend or terminate access for serious or repeated violations, subject to applicable law and any contractual rights.
12. Intellectual Property Rights
Unless otherwise stated, the NexCoder Academy website, brand assets, logos, course structure, teaching materials, recordings, slides, written content, templates, graphics, software, and other materials supplied by us are owned by or licensed to NexCoder Technologies Private Limited and are protected by applicable intellectual-property laws.
Subject to payment and compliance with these Terms, we grant you a limited, revocable, non-exclusive, non-transferable license to access course materials solely for your personal, non-commercial learning. No ownership rights are transferred to you.
Learners generally retain ownership of original work they create, subject to any third-party rights and any NexCoder materials incorporated into that work. If we wish to publicly feature a learner’s name, image, testimonial, project, or success story for marketing, we will seek the permissions required by applicable law and our Privacy Policy.
13. Learner Submissions and Feedback
You are responsible for content, files, prompts, data, projects, comments, or other materials you submit through the Services. You confirm that you have the rights and permissions necessary to submit them and that they do not violate applicable law or third-party rights.
If you voluntarily provide product or course feedback, suggestions, or ideas, you permit us to use that feedback to improve our Services without an obligation to compensate you, while any personal data remains subject to our Privacy Policy.
14. Community and Live-Session Conduct
Learners participating in live classes, webinars, mentorship, chat groups, communities, or peer activities must communicate respectfully and professionally. We may moderate or remove content and may restrict participation where necessary to protect learners, instructors, guests, our systems, or the integrity of the learning environment.
15. Privacy and Data Protection
Our collection and use of personal information is governed by the NexCoder Academy Privacy Policy. By using the Services, you acknowledge that your information may be processed as described in that policy and in accordance with applicable law.
Where third-party platforms are used to deliver classes, process payments, host content, communicate with learners, or provide AI tools, those providers may process information under their own privacy terms.
16. Third-Party Links and Content
The Services may contain links to or integrations with third-party websites, software, platforms, or content. We do not control those third parties and are not responsible for their availability, security, accuracy, policies, or services. Your use of third-party services is at your own discretion and subject to their terms.
17. Service Availability, Changes, and Force Majeure
We aim to provide reliable access but do not guarantee uninterrupted or error-free operation. Sessions or Services may be rescheduled, substituted, temporarily unavailable, or modified due to instructor illness, technical failures, internet outages, platform changes, government action, natural events, or other circumstances beyond reasonable control.
Where reasonably possible, we will take appropriate steps such as rescheduling a session, providing a recording, arranging an alternate instructor, or offering another practical remedy.
18. Disclaimers
The Services are educational in nature and are provided on an “as available” basis to the fullest extent permitted by law. AI tools can generate inaccurate, incomplete, biased, outdated, or inappropriate outputs. Learners must independently review and verify AI-generated content before relying on it for professional, legal, financial, medical, academic, business, or other high-impact decisions.
Course examples and demonstrations are for learning purposes and do not constitute legal, financial, investment, medical, tax, or other regulated professional advice.
19. Limitation of Liability
To the fullest extent permitted by applicable law, NexCoder Technologies Private Limited and its directors, employees, instructors, contractors, and agents will not be liable for indirect, incidental, special, exemplary, punitive, or consequential losses arising from use of the Services, including loss of profits, opportunities, business, or data.
Where liability cannot lawfully be excluded, our aggregate liability arising from a particular paid Service will, to the fullest extent permitted by law, be limited to the amount actually paid by you to NexCoder Academy for that Service giving rise to the claim. This limitation does not exclude liability that cannot be limited or excluded under applicable law.
20. Indemnity
To the extent permitted by law, you agree to indemnify and hold NexCoder Technologies Private Limited and its directors, employees, instructors, contractors, and agents harmless from third-party claims, losses, liabilities, or reasonable costs arising from your unlawful use of the Services, your infringement of third-party rights, or your material breach of these Terms.
21. Suspension and Termination
We may suspend or terminate access where you materially breach these Terms, misuse the Services, fail to make required payments, create a safety or security risk, or engage in unlawful conduct. Termination does not automatically create a right to a refund; any refund rights will be determined by the applicable refund policy and mandatory law.
Provisions concerning intellectual property, payment obligations, disclaimers, liability, dispute resolution, and other provisions that by their nature should survive will remain effective after termination.
22. Governing Law and Dispute Resolution
These Terms are governed by the laws of India. The parties should first attempt in good faith to resolve disputes through written communication.
Subject to applicable consumer-protection law and any mandatory jurisdictional rights, disputes that cannot be resolved amicably will otherwise be subject to the jurisdiction of competent courts in Uttar Pradesh, India.
For legal review: Indian counsel should confirm whether an arbitration clause or additional grievance-redressal language should be added.
23. Electronic Communications
By using the Services, submitting forms, or communicating with us electronically, you consent to receive transactional communications relating to your enrollment, payments, schedules, course delivery, support, policy updates, and account administration by electronic means. Marketing communications will be handled in accordance with applicable law and your communication preferences.
24. General Terms
These Terms, together with the Privacy Policy, applicable refund/cancellation policy, enrollment terms, and any program-specific written conditions, constitute the agreement governing your use of the Services. If a program-specific written term conflicts with these general Terms, the more specific term will apply to that program to the extent of the conflict.
If any provision is held invalid or unenforceable, the remaining provisions will continue in effect. Our failure to enforce a provision does not waive our right to enforce it later. We may assign our rights and obligations as part of a reorganization, merger, acquisition, or transfer of business, subject to applicable law.
